The Board of Directors of Ebbsfleet United FC are delighted to announce that – notwithstanding the fact that legal completion of the takeover by KEH Sports will take a few more days to allow an offer to be made to all shareholders – KEH Sports have provided funding (on a non-refundable basis) in order to meet outstanding players and staff wages for April and to meet May’s payroll.

In addition, KEH Sports are funding much-needed improvements to the pitch at Stonebridge Road.

As Directors we acknowledge and appreciate the importance of this gesture and the fact that the club could not continue or be financially viable without this support.

Ebbsfleet Utd FC announced this afternoon that manager Liam Daish has left the club by mutual consent.

CEO Jessica McQueen said: “The new owners of the club and Liam sat down today and had a frank and amicable discussion about the problems that currently face the club as well as the future plans for it when KEH Sports Ltd assumes control of the club at the end of May.

“In the light of those discussions both parties agreed that this is the right time for the club to effect a change in the first-team management arrangements. Liam has been at the club for some eight years and created his place in Ebbsfleet’s history when the club won the FA Trophy for the first time ever.

“Liam has left on very good terms and the prospective new owners have made it clear he will be welcome back at any time in the future. Liam has even offered to pass on any appropriate knowledge to the new management team which says everything about the man.”

Liam Daish said, ” I have enjoyed eight wonderful years at Ebbsfleet United and have brought the club some of the most successful times in its history. Obviously last season’s relegation was a major disappointment but the financial problems off the pitch did not help and I am pleased that the club will now have owners that will stabilise the financial position of the club and hopefully take it forward.

“I must thank all the players who played for me at my time at the club as well as all the backroom and office staff. Above all I must thank the supporters who have always backed me 100% and I hope this is the start of better times ahead for the club. I will certainly be looking out for their results with a keen interest.”

MyFootballClub members have voted overwhelmingly in favour of selling their 75% share to Kuwaiti investment group KEH Sports Ltd.

The vote, concluded at midday, saw 96.24% back the move to allow a deal to proceed with KEH, which is led by former Charlton Athletic chairman Peter Varney. The potential new owners have promised a significant budget increase and planning for stadium development, together with a training ground and community facility within Gravesend.

The Fleet Trust welcomed the news, commenting in a statement this afternoon:

“The Board of the Fleet Trust today, 13 May 2013, welcomes the result of the My Football Club (MyFC) vote in which over 96 percent approved the sale of Ebbsfleet United Football Club (EUFC) to KEH Sports Limited (KSL).

The Board would like to place on record our thanks to those who negotiated the deal and to the MyFC members who voted.

The Trust now hope that the necessary due diligence can be achieved in a timely fashion to enable the KSL purchase of EUFC to be concluded without delay.

Vice-Chair Emily Connolly commented: ‘This is a momentous day for the Fleet. This season has been one of the toughest for EUFC in recent times, but we now hope that a new era of consensus, stability and significant financial investment is just around the corner.

‘Once the deal has been concluded, the Trust Board look forward to working with Peter Varney and KSL for the benefit of the club, all Fleet fans and the Gravesend and Northfleet community.’”

Further to the news that Ebbsfleet United shareholder and MyFootball Club representatives have entered into negotiations with KEH Sports Limited (KSL) comes more detailed information regarding the KSL offer. This information was earlier published on MyFootballClub’s website and the parties involved have waived confidentiality in order that all supporters may be kept informed of the situation. There also follows an open letter from KSL’s Peter Varney. Statement follows:

“You will all be aware that Ebbsfleet United FC faces a very uncertain future following relegation. The Club has had to withhold paying players and staff to ensure that HMRC payments are made up to date.

The Club also faces a threat of a winding up action from the administrator of Fleet Leisure Limited scheduled to be heard in the High Court on 6th June 2013.

The board of directors of Ebbsfleet United FC have received an offer for the shares in the Club from the Kuwaiti based KEH Sports Ltd. A summary of the offer and the contractual commitment that KEH will make to invest in the Club is set out below:

OFFER BY KEH SPORTS LTD (KSL)

The principal terms of the offer are:-

KSL to pay £10,000 for the entire issued share capital of the Club, to be distributed pro rata to all shareholders

This would result in £7,500 being paid to MyFootballClub.co.uk for application under its constitutional rules

KSL to pay an aggregate sum of £41,900 to settle all loans owed by the Club to directors, shareholders and third parties.

The total indebtedness of the Club is £419,000 and this represents a return of 10p in the pound. The balance of such loans is to be fully written off by the respective lenders and any security granted by the club in favour of any lender over its assets and/or shares is to be released in full.

MyFootballClub.co.uk has a total of £139,000 outstanding to it from the Club, so a sum of £13,900 will be allocated as repayment for this and the rest will be written off.

KSL will invest capital/equity (not loans) in the Club to fund the following:
 - all unpaid ordinary trade creditors in full up to £100,000;
- a transfer budget for season 2013/14 of £100,000;
- a minimum playing squad budget for seasons 2013/14 and 2014/15 of £8k per week.

in addition, KSL will submit a planning application for a stadium development and will initially commit to the construction of one stand.

This offer is a final offer and is not subject to further negotiation.”

This is a critical period in the history of Ebbsfleet United FC and without new investment it is unlikely that the football club will survive. The club has not paid its players and staff for April 2013, it is being threatened with legal action by a number of creditors and such is the uncertainty surrounding the future of the club that it is yet to market season tickets for next season.

KEH Sports Ltd, a newly formed subsidiary of Kuwaiti European Holding Company, is committed to restructuring and reinvigorating the club and to investing significant sums of money to firstly guarantee its survival and then to put in place the foundations for future success. We will act in a financially responsible manner and all our investment will be in the form of equity and not loans which should give real reassurance of our intentions to the club’s supporters.

Our priority will be initially to build a new first team squad and to introduce a range of football support functions to ensure maximum performance on the pitch. We have made an offer to acquire a sports ground in Gravesend which will not only operate as the club’s training ground headquarters but will be a facility for use by the local community as it is our intention to build a real community club and one of which its supporters and the community at large can be rightly proud.

We will be drawing up plans in consultation with Gravesham Borough Council to develop the stadium at Stonebridge Road and in our offer to the club have made a substantial financial commitment relating to the construction of the first new stand at the club.

This can be the start of an exciting new era for Ebbsfleet United FC and by voting yes today you can help us start what hopefully will be an enjoyable and a successful future. I hope we can count on your support.

Regards

Peter Varney

Ebbsfleet United are offering a rare opportunity for use of the pitch down at Stonebridge road, as you are aware the season is unfortunately over, and until preseason begins the pitch is vacant, therefore we are offering a unique opportunity for football enthusiasts to partake in 3, 20 minute a halve matches on a professional football pitch. Teams must be of around 13-14 player at a minimum of £10 per player, any more cash would be welcome as a goodwill gesture and to help raise some much needed funds for the club.

Also on the day we will be holding a family friendly BBQ so although you may not want to lace up your boots, you can still sit in the stands as a spectator enjoying a nice burger whilst watching a few games of footy.

DON’T BE ALARMED!

We are fully aware its cup final day and will be showing the game on the big screen in the club bar so you won’t miss out.

Hope to see you soon and hopefully on a warm sunny day at Stonebridge Road

Ebbsfleet United Update 30th April 2013

Everyone,

There are a number of stories floating around about the status of Ebbsfleet United Football Club. We heard yesterday that the club was wound up noon yesterday and also that we had gone into administration. We can confirm that neither of these statements are true.

The club does have short term cash problems and the most critical situation is that we get the club through to the financial year end which is 31st May 2013. Monies donated either directly to the club, through the Fleet Trust or through the MyFC ownership model will be gratefully received, no matter how large or small.

The club is behind with its PAYE and VAT payments to HMRC. The March PAYE payment is almost cleared and at this moment in time the April PAYE payment is outstanding. The VAT payment due in April is also outstanding. A substantial payment was made to HMRC yesterday. At the time of writing the amount still owed is excess of £25,000. We have had a dialogue with HMRC and this will be ongoing to ensure the survival of the club.

On the subject of potential investors we can confirm that there are two interested investors. It would be unfair to comment further at this stage as both offers have their merits and details are subject to confidentiality at this stage. Both offers include monies set aside to clear the current short term liabilities that have received plenty of publicity.

As and when things change substantially we will endeavour to update everyone associated with the club as quickly and accurately as possible.

Regards,

Jessica McQueen and Phil Sonsara

As many of you are aware, the future of the club and its ownership has been in the spotlight during the past couple of weeks, and we wanted to take this opportunity to provide an update.

Since the Trust’s AGM in November, a Sub-Group of the Board (comprising of Emily Connolly, Steve East, Alan Mitchell and Phil Moss) have been working to try and secure financial investment into the Trust and the club.

The club’s Directors, Jessica McQueen and Phil Sonsara, have kept the Sub-Group informed of potential investors, alongside our current owners MyFC.

At the beginning of the month, a proposal from Carlos Kabir Karani to take control of the club was introduced to MyFC, who shared it with the Trust, and we are grateful to them for doing so.

Members of the Sub-Group met with Carlos, the EUFC Directors and representatives of MyFC on 9 April 2013 to discuss the proposal and ask questions relating to the finance of the proposal and the business model which would be adopted in the event of his takeover of the club.

Following this meeting, MyFC asked the Trust to ascertain the views of Fleet fans regarding Carlos’ proposal, prior to any vote regarding a potential sale of the club.

The next evening, 10 April 2013, Carlos attended the Fleet Trust Board meeting to answer further questions regarding his proposal, especially with regard to the funding of the club in the short and medium term.

The Trust then announced a public meeting would take place for all Fleet fans the following week, the evening after our last home league game against Tamworth.

In the meantime, a group of fans not affiliated to the Trust, FAMyFC, organised ‘MyFC Out’ protests at our last two league games of the season, against Telford and Tamworth. They received a great deal of press coverage and collected over 300 signatures to a petition asking MyFC to relinquish their shareholding in the club.

At the public meeting on 17 April 2013, the Trust updated supporters on the situation at the club and the various meetings which had taken place. A request from MyFC for the Trust, and others, to purchase £25,000 worth of shares was presented to the meeting, Carlos then discussed his proposal and took questions from the floor, and FAMyFC read out a statement reiterating their wish to see MyFC leave the club.

Finally, Jessica informed the meeting that approximately £100,000 was required by the end of April to keep the club going.

The meeting voted to support Carlos’ proposal, with one vote against and one abstention, and voted not to purchase any shares in the club. The results of the vote were communicated to MyFC.

MyFC then arranged a vote amongst its members with three options; to (a) gift their shares to the Trust and Phil Sonsara, (b) sell a third of their shares, or (c) put the club into administration.

The vote closed at 11am on Monday of this week, with the following result:

Gift the shares: 430 votes (70%)
Sell shares: 106 (17%)
Administration: 68 (11%)
Abstentions: 11 (2%)

Thus MyFC had voted to gift two-thirds (50% of the club) of their shares to the Trust, and the remaining one-third (25% of the club) to Phil Sonsara.

Should this go ahead, then the Trust, by virtue of our existing 1% shareholding, would become the majority shareholder of the club. With that would come legal responsibility for the current financial situation of the club.

However, supporters should note that any process to potentially transfer shareholdings will clearly take a period of time to accomplish. There is no quick fix with regard to legal transfers of ownership.

Since the result of the vote was announced, the Sub-Group have participated in a series of meetings this week to ascertain as much information as possible about the finances of the club, to receive further details regarding Carlos’ proposal and to hear the views of the other stakeholders, primarily the other major shareholders in the club.

We have issued statements via our website and on the EUFC Forum to keep supporters informed, and we believe that in the next few days we will be in a position to provide more detail regarding the current situation.

Supporters need to be aware that there are considerable challenges to be faced by all concerned. We would therefore encourage everyone who cares about the Fleet to make a financial donation in the Club Shop tonight, or via our website (see below). The Trust will ringfence all donations received at the current time.

Please make a contribution, and help us keep the club alive.

Ebbsfleet United are calling on supporters for one final effort this season as the club hosts Tonbridge Angels in the Kent Senior Cup semi-final this Thursday, kick-off 7.45pm – with the winners meeting Charlton Athletic in the final. Admission – an all-pay game meaning it is not free to season-ticket holders – is just £8 adults and £4 concessions. A bumper crowd would help the Fleet in what is clearly a time of crisis as the club seeks to gather new investment going into the close season.

A Liam Enver-Marum hat-trick was enough to win the Fleet a berth in the semi-final as a 4-2 defeat of Margate gave some end-of-season cheer. It was a strong Fleet side that took the game to their Ryman League opponents and on 11 minutes Ashley Carew opened the scoring, beating ex-Ebbsfleet defender Phil Starkey to a ball and firing home.

It was another former Stonebridge Road favourite who got the home side back into the game six minutes before half-time. Having missed two opportunities, Kezie Ibe made no mistake with his third, converting Matt Bodkin’s delivery from close range. Parity wasn’t restored for long, however, as Enver-Marum raced onto the end of Carew’s through ball and converted in his trademark style.

But Margate pressed in the opening quarter-hour of the second half and were rewarded on 58 minutes when Bodkin again turned provider with an inswinging corner that Tommy Whitnell crashed home. Clearly ruffled once again by their opponents scoring, Fleet responded quickly, Enver-Marum’s overhead kick on 62 minutes restoring the lead. And the Fleet striker wrapped things up with his hat-trick and a little help from Liam Bellamy, the woodwork and a deflection to see the visitors into the semi-final by four goals to two.

TEAM: Menz, Howe, Gwillim, Stone, Walsh, Phipp, Azeez, Bellamy, Carew, Payne, Enver-Marum. Subs: Blake, Elder, Barrett, Saville, Brooks.

Fleet’s final game in the Blue Square Bet Premier ended in defeat at Middlesbrough’s Riverside as Gateshead secured their own survival.

Liam Daish made several changes, with Lucas Menz, Craig Stone, Phil Walsh, Jack Saville and Ashley Carew replacing Preston Edwards, Ryan Blake, Paul Lorraine, Ubay Luzardo and Stefan Payne. The best chance of the opening half hour fell to the home side, James Marwood’s shot held by Menz and the same player teed up Liam Hatch for a golden opportunity shortly before half-time but the former Fleet striker managed to fire wide from six yards.

But the man who saved Fleet from relegation in 2003 made no mistake just three minutes into the second half when he headed home Josh Gillies’ corner. Menz brilliantly kept out Gillies’ shot on the hour and James Brown went close as well. The visitors weren’t without their chances, Nathan Elder and Tom Phipp both testing goalkeeper Adam Bartlett while substitute Moses Ashikodi had a chance for an equaliser late on.

Once that chance went astray, however, Gateshead secured the three points deep into stoppage time, Marwood the provider and Liam Henderson converted.

TEAM: Menz, Stone, Howe, Walsh, Saville, Barrett, Bellamy (Blake 81), Carew (Azeez 77), Phipp, Elder (Ashikodi 81), Enver-Marum. Subs not used: Edwards

The Fleet Cup run yesterday, Thursday 18 April, at Leigh Academy school for Yr 7&8 / Yr9/10/11 Girls teams.

Ladies Head coach Zara Phillips stated “We were delighted at the entry levels this year with 27 school teams entering the competition, and it produced a fantastic showcase for young female players as the competition standards were really high”

Girls Head coach Dave Hill added ” it was great to see so many young Ebbsfleet players scattered about the teams and we hope the day helped us recruit more players into our girls youth sections, as many girls were not assigned to a club and with a little coaching would be really good players”

The Yr 7&8 competition run with 2 groups of 7 teams and the top two teams from each group went straight through to semi finals. Semi final matches were between Leigh Acadmey (2012 champions) v Hayes School and Bexleyheath v Erith School, both games were very closely fought but Leigh Academy and Bexleyheath just edged the matches and progressed through to the finals.

Final Bexleyheath Academy v Leigh Academy saw Bexleyheath lead the way in the match, although Leigh put up a great fight they just couldnt find the breakthrough and Bexleyheath took the title.

The Yr 9,10, 11 tournament again saw two groups of 7 enter into a day of energetic and competitive matches. After some close matches within the rounds as well as lots of celebrated goals, Erith School v Leigh Academy (2012 champions) and Bexleyheath v St Simon Stock were matched up in the semis. There was some top quality football on show with these games and Erith School and St Simon Stock progressed to the final.

The final was an end to end affair with both teams giving everyhting to prodice the winner, an advert for youth sport & fitness at this age group with so many games already played. In true final excitement the game was tied at the end and went to a sudden death penalty shoot out, with Bexleyheath holding there nerve to run out Champions by 1 goal.

With Stefan Payne sent off once more, 10-man Fleet hit a brick Wall at Kenilworth Road tonight as two goals from striker Alex Wall, late of Maidenhead United, gave the Hatters victory in this rescheduled fixtures – and penultimate game of the season for both sides.

Preston Edwards returned in goal, with Ryan Blake, Liam Bellamy, Liam Enver-Marum and Neil Barrett replacing Craig Stone, Lanre Azeez, Ashley Carew and David Azin. But Luton were in front on just 4 minutes, Wall heading home Jake Howells’ assist after Fleet were opened up down the left. Luton drove at the Fleet and Howells could have added a second after combining well with Dan Walker. It was then Walker’s chance to miss as he fizzed a shot just wide from Scott Rendell’s pass.

Fleet were restricted to long-range efforts, Liam Enver-Marum’s long-range drive went wide and two Bellamy set pieces easily dealt with. The visitors’ task took a sharp turn uphill five minutes before half-time when Payne’s lunging challenge on Howells was red-carded, his second such offence in two weeks, and one clearly not welcomed by the Luton players. Edwards then had to gather a Rendell shot before Fleet got sight of goal just before the whistle, Tom Phipp shooting from outside the box only to see Mark Tyler saving it as it headed towards the upright.

Nathan Elder had two quickfire chances as the second half began, heading a Phipp cross over from close range but Luton were soon back into their stride. Walker was still in the thick of things for the home side with two shots just off target, but both sides seemed content to conserve energy as the game fizzled out. That was until Wall struck again on 77 minutes, beating Fleet defenders to Jake Goodman’s high ball before neatly finishing past Edwards.

TEAM: Edwards, Howe, Blake, Luzardo, Lorraine (Saville 72), Barrett, Bellamy, Phipp, Enver-Marum, Payne, Elder (Ashikodi 86). Subs not used: Menz, Azin, Azeez

Fleet Trust vice chair Emily Connolly has posted a statement updating fans on the outcome of the public meeting held tonight (Wednesday) at Stonebridge Road. Additionally, representatives from FAMYFC (Fleet Against MyFC) revealed that a petition calling on MyFootballClub to end its ownership of the football club stood at just under 400 signatures since launching last Saturday.

Emily Connolly: “I would like to give you an update on the meeting that took place tonight and the outcome of the vote by Fleet Trust members.

The meeting was held due to the request from the MyFC Society Board for us to gather the opinions of Trust members and supporters on Carlos Kabir Karani’s proposal and to confirm whether or not we support it. I can confirm that all information that the Trust board had gathered was shared, all parties were allowed an opportunity to address the meeting and that we ensured that balanced and factual presentations were made to enable Trust members to make an informed decision.

We were also sent a report of a meeting held on Monday concerning a share issue and so shared the key points with members.

The format of the meeting was as follows: -

Introduction and welcome from Emily. Explanation that the MyFC Society Board has asked for Trust members’ opinion on whether or not they supported Carlos’ proposal to help them in their discussions and ultimately their own binding vote.

Update from the Fleet Trust board by Steve East. He gave a factual presentation starting from the Trust’s statement in November about the MyFC model no longer being viable, the 1st investment proposal from the syndicate led by Peter Varney and problems they encountered with the Council, the issues with arranging a meeting between Fleet Trust reps and MyFC SB reps, Carlos’ proposal and his meetings with both sets of reps then attendance at the Fleet Trust board meeting, the current situation concerning debts and need for £100k by the end of the month plus an update of the meeting held on 6th April between Fleet Trust reps and MyFC SB reps. This included the admission from the MyFC SB that the MyFC model was no longer sustainable. He also read out the key points about the proposed share issue from the report of Monday’s meeting.

An update from Carlos on his proposal followed by a question and answer session. Questions submitted and asked through Emily.

A statement was read by Paul Jarvis on behalf of the Fleet against MyFC group and is available here – http://fleetagainstmyfc.moonfruit.com/

A brief update from Jessica on the need for £100,000.

A vote was then held for Fleet Trust members only and the two motions are detailed below:

Do the Fleet Trust support Carlos’ proposal – All members voted Yes apart from 1 member

Do the Fleet Trust support MyFC’s request that the Fleet Trust look to purchase £25k of MyFC shares – All members voted No

I can therefore confirm that as per the request from the MyFC Society Board we have consulted with Fleet Trust members and their decision after much discussion is that they would choose to support Carlos’ proposal.

Our decision and an update of the meeting has been sent to the MyFC Society Board. We have also asked for a timescale on their own vote whether or not to accept Carlos’ proposal.
